Overview of the M&A Process and Strategic Rationale

Explore the end-to-end M&A process, from deal origination and due diligence to post-merger integration. Understand the strategic motivations behind M&A, such as market expansion, operational synergies, and value creation. Gain insights into how organizations identify and assess potential targets to achieve their strategic goals.

Valuation in M&A Transactions

Unravel the complexities of valuation in the context of M&A transactions. Participants will learn how to select the appropriate basis of value—market value, investment value, or other frameworks—based on transaction context. The session delves into widely used valuation methodologies, including discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis. Participants will also discover methods to incorporate and quantify synergies, ensuring a realistic assessment of the deal’s value.

Financial Due Diligence (FDD)

Financial due diligence is a critical component of M&A success. This segment offers an in-depth exploration of the FDD process, from initial transaction analysis to detailed reporting. Key topics include:

  • Quality of Earnings (QoE): Evaluating sustainable profitability and identifying red flags.
  • Quality of Net Assets: Recognizing hidden liabilities and market value adjustments.
  • Quality of Cash Flows: Ensuring the sustainability of operational cash flows.

Participants will also examine the implications of FDD findings on deal structure, negotiations, and valuation, gaining actionable insights for decision-making.

Considerations for Listed Companies

  • Discover the unique challenges and opportunities of M&A involving publicly listed companies. This session covers regulatory compliance, shareholder interests, and the importance of transparency in public disclosures. Understand the nuances of navigating these additional complexities to ensure a successful transaction.

Ong Woon Pheng FCCA  

Currently, Woon Pheng is Consultant with Nexia Singapore PAC. He was formally a Director of PKF-CAP Advisory Partners Pte. Ltd. (a member firm of PKF Global) and headed the Financial Advisory Services department in Singapore office. 

He has been in this industry since 2001, and currently specialises in business valuation, intangible asset valuation, valuation for IFRS, IFRS advisory, financial and tax due diligence, transactions advisory, forensic accounting cum fraud investigation and litigation support services.

He is a Chartered Accountant of Singapore (CA Singapore), Fellow Member of Association of Chartered Certified Accountants (FCCA), Chartered Valuer & Appraiser (CVA), Chartered Financial Analyst (CFA), International M&A Expert (IM&A), Certified Fraud Examiner (CFE) and Singapore Chartered Tax Practitioner (SCTP).

He serves as a member of the Investigation and Disciplinary Panel of the ISCA, a member of Certification & Disciplinary Working Group (CDWG) of the Institute of Valuers and Appraisers, Singapore (IVAS), a member of Panel of Financial Experts (POFE) scheme between ISCA and the Family Justice Courts (FJC) and IA/IP valuation expert endorsed by IPOS. He was formally Treasurer of Kampong Ubi Community Centre Management Committee.
